David is Chairman of the Firm and a partner in the Business Group, and previously led Mirick as the Firm’s Managing Partner for over 22 years. Throughout his tenure, David has maintained a full-time, thriving business law practice and has served on several charitable and civic boards. He draws upon his own experiences as a business owner and decision maker to provide clients with practical, cost-effective solutions to meet their business objectives.

His practice focuses on general corporate matters, including mergers and acquisitions, corporate finance, secured transactions, commercial lending, and commercial real estate.

As a seasoned transactional lawyer and trusted advisor to businesses, both privately held and publicly traded, David is known for his meticulous attention to detail and strategic mindset. His initial approach to every transaction is to validate the proposed structure and to identify the “pinch points” to be resolved for the transaction to proceed. He works with clients on all types of transactions, ensuring that proper documentation is in place to achieve the business objectives while mitigating risks so as to avoid litigation. His client base ranges in size from start-ups to family-owned businesses to multi-national public companies, from such industries as manufacturing, banking and finance, and technology. Many clients have been with Mirick for decades due to the personal service they receive from David.

David was named one of Massachusetts Lawyers Weekly’s 2024 Top 25 Managing Partners and has been named one of Massachusetts “Super Lawyers” by Boston magazine and Law & Politics every year since 2004.   • Represented the stockholders of a Massachusetts based manufacturer of branded point-of-care IT workstation solutions for the healthcare markets, including powered carts, non-powered carts, wall arms, and video presentation carts, in the sale of the business to a private equity buyer.
  • Represented the stockholders of a leading provider of software-as-a-service solutions for corporate social responsibility, employee engagement and volunteer management in a sale of the business to a private equity buyer. This transaction also included a very successful earnout component for the sellers.
  • Represented Protex International SA in several acquisitions of U.S. based businesses that develop and manufacture chemical additives. Protex International is a French industrial group with operations in twenty countries.
  • Regularly represent numerous lenders like Berkshire Bank, Country Bank for Savings, Hometown Bank, A&T Bank, Main Street Bank, Rockland Trust, Santander Bank, TD Bank, UniBank, and Webster Five Cents Savings Bank in documenting commercial loan facilities.
  • Represented a Sweden conglomerate in the acquisition of a manufacturer of precision grinding machines.
  • Represented a New England based retailer of automotive parts, tires and service in the sale of its Auto Parts Division to publicly held O’Reilly Auto Parts.
  • Represented a Nevada based family office in connection with investing in and developing a multi-acre real estate project in South Boston.
  • Represented a French multinational conglomerate and the parent of a major U.S. abrasives and ceramics manufacturer with respect to numerous acquisitions and divestitures throughout the United States.
  • Represented a publicly-held manufacturer of precision tooling in the acquisition of the assets of a California-based company specializing in precision measuring technologies.
  • Represented a U.S. biomedical corporation in the acquisition of a Northern Ireland medical device research and manufacturing company.
  • Represented a German conglomerate involved in the manufacture and distribution of fasteners in multi-state acquisitions of closely held businesses.
